Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Peregrine Logic LLC ("we," "us," or "our"), the operator of PrunePath, concerning your access to and use of the PrunePath URL shortening service available at prunepath.com (the "Service").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a new "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Account Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

You may not create an account using false information, impersonate another person or entity, or create multiple accounts to circumvent Service limitations. We reserve the right to suspend or terminate accounts that violate these Terms.

Description of Service

PrunePath provides a URL shortening and analytics service that allows users to create shortened links, generate QR codes, and track link performance through analytics dashboards.

The Service includes:

• Creation of shortened URLs with custom slugs
• QR code generation and downloading
• Click tracking and analytics (geographic location, device type, referrer data)
• Link management dashboard
• Data export capabilities
• Subscription-based premium features

Service features and availability may vary based on your subscription plan. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice.

Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Create links to illegal, harmful, threatening, abusive, harassing, defamatory, or obscene content
• Distribute malware, viruses, or any malicious code through shortened links
• Engage in phishing, spam, or fraudulent activities
• Violate intellectual property rights or privacy rights of others
• Create links to content that promotes violence, terrorism, or illegal activities
• Use the Service for cryptocurrency mining, ponzi schemes, or pyramid schemes
• Distribute child sexual abuse material or engage in child exploitation
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use automated means (bots, scrapers) to access the Service without permission
• Resell or redistribute the Service without authorization
• Create links that violate export control laws or sanctions

We reserve the right to investigate and take appropriate legal action against anyone who violates this Acceptable Use Policy, including removing links, suspending accounts, and reporting to law enforcement authorities.

Content and Link Ownership

You retain all rights to the content you link to through the Service. By creating a shortened link, you grant us a limited, worldwide, non-exclusive license to store, display, and process the destination URLs and associated metadata solely for the purpose of providing the Service.

You represent and warrant that you have all necessary rights to the content you link to and that such content does not violate any third-party rights or applicable laws.

We do not claim ownership of your links or content, but we reserve the right to remove or disable any links that violate these Terms or applicable laws.

Subscription Plans and Billing

Free Plan

Our Free Plan provides limited access to the Service with restrictions on link creation, analytics retention, and link expiration. Free Plan features are subject to change at our discretion.

Paid Subscriptions

Paid subscription plans (Starter and Pro) provide enhanced features and higher usage limits. By subscribing to a paid plan:

• You authorize us to charge your payment method on a recurring basis
• Subscriptions automatically renew unless cancelled before the renewal date
• Fees are charged in advance for each billing cycle (monthly or annual)
• All fees are non-refundable except as required by law
• Price changes will be communicated at least 30 days in advance
• Free trials, if offered, will convert to paid subscriptions unless cancelled

Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. We do not provide refunds for partial billing periods, except as required by law.

Payment Processing

Payments are processed by third-party payment processors (Stripe). You agree to their terms of service and privacy policies. We do not store your complete payment card information.

Intellectual Property Rights

The Service, including all content, features, functionality, software, logos, and trademarks, is owned by Peregrine Logic LLC and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes. This license does not include any rights to:

• Modify, copy, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble the Service
• Remove or alter any proprietary notices or labels
• Use the Service to build a competing product or service

Service Availability and Support

We strive to provide reliable service, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We provide customer support via email. Response times may vary based on your subscription plan and the nature of your inquiry. Support for the Free Plan is provided on a best-effort basis.

Data and Analytics

We collect analytics data about clicks on your shortened links, including IP addresses (anonymized), geographic location, device information, and referrer data. This data is provided to you through our analytics dashboard.

Analytics data retention periods vary by subscription plan:

• Free Plan: 7 days
• Starter Plan: 30 days
• Pro Plan: 1 year

You are responsible for ensuring your use of analytics data complies with applicable privacy laws and regulations.

Termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• Your shortened links may be disabled or deleted
• Your analytics data will be deleted according to our retention policy
• Any outstanding fees will become immediately due

You may terminate your account at any time by deleting your account through the Service settings or by contacting us.

Disclaimers and Limitations of Liability

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PEREGRINE LOGIC LLC, PRUNEPATH, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Peregrine Logic LLC, PrunePath, and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) any content you link to through the Service.

Third-Party Links and Services

The Service may contain links to third-party websites or services that are not owned or controlled by Peregrine Logic LLC or PrunePath. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by or in connection with your use of any third-party content, goods, or services.

DMCA and Copyright Policy

We respect the intellectual property rights of others. If you believe that content linked through our Service infringes your copyright, please provide us with a notice containing:

• Identification of the copyrighted work claimed to be infringed
• Identification of the shortened link that contains the allegedly infringing material
• Your contact information (name, address, telephone number, email)
• A statement that you have a good faith belief that the use is not authorized
• A statement that the information is accurate and you are authorized to act on behalf of the copyright owner
• Your physical or electronic signature

We will respond to valid DMCA notices by removing or disabling access to the allegedly infringing links.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Peregrine Logic LLC regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
